The Company recognises that ownership of regulated healthcare services carries statutory, regulatory, fiduciary, and public interest responsibilities. The Company is being structured accordingly, with an emphasis on board oversight, regulatory accountability, and long term stewardship.
The Company is currently in an active formation and execution phase. Its immediate focus is on establishing governance architecture, board composition, professional adviser engagement, and regulatory readiness in advance of initiating any acquisition or operational activity.
The use of the term platform refers to a structured ownership and governance framework being established for the purpose of executing future acquisitions and long term stewardship. It does not imply that the Company currently owns, operates, or controls any regulated healthcare services.
Any future ownership activity may, where appropriate and subject to board approval and applicable regulatory requirements, be undertaken through subsidiary undertakings or other special purpose entities established for defined purposes. This structure is intended to support clear governance, regulatory accountability, and risk segregation at the operating level.

The Company seeks to promote continuity of care, preservation of clinical standards, and long term sustainability within the UK health and social care sector. Ownership decisions are intended to align with patient safety, safeguarding obligations, workforce stability, and regulatory performance.
The Company’s approach is deliberately measured. Regulatory compliance and clinical governance are treated as foundational considerations and are prioritised ahead of growth, expansion, or short term financial outcomes.
Transaction Framework and Strategic Parameters
The Company has defined a transaction framework to guide the evaluation of potential acquisitions of established care home operators that are already registered with the Care Quality Commission and operating within England and Wales. Any evaluation activity is conducted within a controlled governance process and does not constitute an offer, commitment, or obligation to enter into any transaction.
For strategic planning purposes, the Company may evaluate founder owned businesses demonstrating consistent regulatory performance, stable operating histories, and appropriate clinical governance arrangements, typically generating earnings before interest, tax, depreciation, and amortisation in the region of approximately £1 million to £4 million. This range is indicative only and is not intended to be prescriptive or limiting.
This scale is considered appropriate to support robust governance, regulatory oversight, and operational resilience.
Any transaction would be subject to board approval, availability and structure of funding, comprehensive legal, regulatory, clinical, operational, and financial due diligence, and the receipt of all necessary regulatory consents, notifications, or approvals. No transaction will be progressed unless it is considered consistent with the Company’s governance framework, risk appetite, and long term ownership objectives.
Any future ownership activity may, where appropriate and subject to board approval and regulatory requirements, be undertaken through subsidiary undertakings or other special purpose entities established for specific purposes.
Any potential transaction, acquisition, or strategic initiative will be subject to board approval, regulatory requirements, and satisfactory legal, financial, and clinical due diligence. Such matters will be progressed in good faith on an indicative and non binding basis, and no obligation is assumed to proceed.

The Company is being structured around a board led governance framework reflecting recognised best practice for ownership of regulated healthcare services in the United Kingdom. Effective governance is regarded as essential to risk management, regulatory engagement, ethical decision making, and long term value preservation.
Independent non executive oversight is regarded as foundational to the Company’s operating model rather than contingent on transaction activity. The Company is in the process of assembling a non executive board, including the appointment of an independent non executive chair.
No material strategic, financial, or transactional decisions will be taken without appropriate board consideration and professional advice.
